Genio Energy Management Services (GEMS) Terms and Conditions
PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING OUR SERVICES OR WEBSITE.
Genio Energy Management Services (GEMS), operated by Unico Power Corp. (“we,” “our,” or “us”), provides energy management solutions, including an energy management system, Final Supply Equipment (FSE), EV charging infrastructure, and related cloud-based software services (“Services”). These Terms and Conditions govern your access to and use of the Services and our website.
By accessing or using our Services and website, you agree to be bound by these Terms and any applicable laws. We reserve the right to amend these Terms at any time without prior notice. Your continued use of our Services constitutes acceptance of any revised Terms.
1. Intellectual Property
1.2. You are granted a limited, non-exclusive, non-transferable license to access and use the Services and materials solely for their intended purposes. No ownership or proprietary rights are transferred to you through this license.
2. Use of Company Materials
2.1. Any documentation, data, or materials provided through the Services or website are for your personal use in connection with the Services.
2.2. You may not reproduce, modify, distribute, or use these materials for any purpose beyond the scope of the Services.
3. Account Responsibilities
If you create an account to access the Services, you agree to the following:
a) You are responsible for maintaining the confidentiality of your account credentials and activities conducted under your account.
b) You will notify us immediately of unauthorized use of your account or any security breach.
c) You will ensure the accuracy and currency of the information provided during registration and promptly update it if needed.
4. Payment Terms and Billing
4.1. Subscriptions: Access to the Services requires a monthly or annual subscription, as chosen during registration. The fees are outlined in your order confirmation.
4.2. Payment Authorization: By subscribing, you authorize us to charge the payment method provided for all applicable fees, including taxes.
4.3. Failed Payments: If a payment fails, your access to the Services may be suspended until a valid payment method is provided.
4.4. Changes to Pricing: We may update pricing with 30 days’ notice. Such changes apply to subsequent billing cycles.
4.5. Billing Cycle: Your first bill will include prorated charges based on the date of registration. Subscriptions automatically renew unless canceled in advance.
5. Internet Service Requirements
Tier 3 Services require a stable internet connection. Ensuring such connectivity is your responsibility unless otherwise agreed.
6. Data Ownership and Privacy
6.1. Data Ownership: We retain ownership of all data generated by the Final Supply Equipment (FSE). You will receive periodic summaries in the form of reports.
6.2. Privacy: Personal and usage data collected through the Services are processed in accordance with applicable privacy laws. Please refer to our Privacy Policy for details.
7. Acceptable Use
You agree not to use the Services or website for:
a) Illegal, harmful, or unauthorized activities.
b) Violating intellectual property rights or uploading harmful software.
c) Harassment, abuse, or fraudulent activities.
8. Service Interruptions
We may temporarily suspend the Services for maintenance or emergency reasons. While we strive to minimize disruptions, we are not liable for losses resulting from service interruptions.
9. Termination of Services
9.1. By You: You may terminate your subscription with 30 days’ notice. Early termination may result in additional charges.
9.2. By Us: We reserve the right to terminate your access for non-payment, breach of these Terms, or misuse of the Services.
10. Cancellation
Subscribers may cancel their GEMS plan at any time. For monthly subscribers, the cancellation will take effect 30 days from the date the cancellation request is received. During these 30 days, buildings will retain access to their current GEMS plan until their next billing date.
For annual subscriptions, a fee of $9.99 per month will be applied for the remaining months of the subscription term, payable upon cancellation.
11. Limitation of Liability
Our liability for any claims is limited to the greater of $100 CAD or the amount you paid in the past six months. We are not responsible for indirect, incidental, or consequential damages arising from the use of our Services or website.
12. Governing Law
These Terms are governed by the laws of the province of Alberta, Canada, without regard to its conflict of law provisions.
